Terms of Service & Privacy Policy

1. Who We Are
These Terms of Service and Privacy Policy govern your access to and use of ArtsManaged Compass provided by arts axis, LLC. ArtsManaged Compass (“ArtsManaged Compass”) is operated by arts axis, LLC, based in Washington, DC. ArtsManaged Compass is not affiliated with or endorsed by American University. E. Andrew Taylor's academic home is American University; ArtsManaged Compass is an independent venture of arts axis, LLC. By accessing or using the service, you agree to these terms and policies.
2. What ArtsManaged Compass Is
ArtsManaged Compass is an AI thinking partner for arts management practitioners. It is built on Anthropic's Claude large language model. It is not a human advisor, coach, consultant, attorney, or licensed professional of any kind.
3. What ArtsManaged Compass Is Not (AI Disclaimer)
ArtsManaged Compass outputs may contain errors, omissions, or inaccuracies. ArtsManaged Compass does not provide legal, financial, HR, accounting, tax, or governance/fiduciary advice. No professional or fiduciary relationship is created by using this service. You must verify all outputs independently before applying them to organizational decisions.
4. Service Status
ArtsManaged Compass is an evolving service. Features and availability may change with notice.
5. Your Subscription
ArtsManaged Compass is available at two pricing tiers: Standard ($15/month) and Education ($10/month). Both tiers automatically renew each month at the then-current rate and your payment method will be charged unless you cancel before the renewal date; both tiers include the same features. Payment is processed by Stripe.
The Education tier is available to current students and active faculty at accredited institutions of higher education in the United States, verified by a .edu email address and a self-attestation of eligibility. By subscribing at the Education rate, you represent and warrant that you meet the eligibility requirements at the time of subscription and will promptly notify us at support@artsmanaged.org if your eligibility status changes. Misrepresentation of eligibility is a material breach of these terms and may result in immediate account termination, conversion of your subscription to the Standard rate retroactive to the date of ineligibility, and recovery of the resulting fee difference. Education subscribers may be asked to reconfirm their status annually.
Pricing may change. We will provide at least 30 days' advance notice of any price increase by email to the address on file.
If a payment fails, we will notify you at the email address on file. Access may be suspended after a 7-day grace period if payment is not resolved.
6. Your Data
What we collect: Account information via Clerk (name, email), usage metrics (token counts, message counts, costs — no conversation content), and standard web server logs. We process, but do not persistently store, your conversation content, except for standard server logs retained for up to 30 days. Conversation content is transmitted to our model provider and may be retained by them for up to 30 days; we do not use conversation content for our own model training. Under our agreement with Anthropic, Anthropic is also contractually prohibited from training its models on your conversation content.
What we do not persistently store: Conversation content, uploaded documents, or Session Portfolios. Conversation content may be processed and retained by our model provider for up to 30 days.
Cookies and tracking: We and our service providers (including, but not limited to, Clerk, Stripe, and Vercel) may use cookies and similar technologies for authentication, session management, and usage analytics. You can manage cookie preferences through your browser settings, though some features may not function properly if cookies are disabled.
Data security: We use industry-standard measures to protect your account information in transit and at rest, including HTTPS encryption and access controls. No system is completely secure, and we cannot guarantee absolute security.
Data retention: Account information (name and email) is retained for the duration of your subscription and for up to 90 days following account closure or termination, after which it is deleted from our systems. Usage metrics are retained in aggregate, anonymized form. In the event of a data breach affecting your personal information, we will notify you as required by applicable law.
7. How Your Information Moves
Conversation content is processed, but not persistently stored, except for standard server logs retained for up to 30 days. Conversation content is transmitted to our model provider (Anthropic) and may be retained by them for up to 30 days; we do not use conversation content for our own model training. Under our agreement with Anthropic, Anthropic is also contractually prohibited from training its models on your conversation content.
- Clerk — Handles authentication (name, email).
- Stripe — Processes payments.
- Vercel / Neon — Hosting and usage metrics only.
PDF uploads: Text is extracted server-side by our software. Extracted text enters the conversation sent to the model provider. Extracted text is processed but not persistently stored.
Each of these service providers operates under its own privacy policy. We encourage you to review their privacy practices. Some providers may process data on servers located outside the United States.
8. Session Portfolios
Session Portfolios are generated in your browser. We process, but do not persistently store, your conversation content except for standard server logs retained for up to 30 days. Conversation content is transmitted to our model provider and may be retained by them for up to 30 days; we do not use conversation content for our own model training. Under our agreement with Anthropic, Anthropic is also contractually prohibited from training its models on your conversation content. It is your responsibility to download Session Portfolios. If you do not download a Session Portfolio, the conversation is permanently lost.
9. Intellectual Property
The ArtsManaged Field Guide, ArtsManaged Field Notes, and ArtsManaged YouTube are freely accessible and remain the intellectual property of arts axis, LLC. The system instructions, prompt architecture, and software are proprietary to arts axis, LLC. Users may not attempt to extract, reconstruct, or reverse-engineer the system instructions or prompt architecture.
You retain ownership of all content you submit as inputs to ArtsManaged Compass. By using the service, you grant arts axis, LLC a limited license to process your inputs solely as necessary to deliver the service to you.
10. Acceptable Use
You may not use the service to: (a) engage in any unlawful, infringing, harmful, harassing, or deceptive activity; (b) upload, transmit, or introduce malware or other malicious code; (c) conduct security testing, scraping, or automated access without authorization; (d) violate export control laws; (e) use the service for high-risk activities (including, without limitation, medical diagnosis, legal or financial decision-making without independent verification, operation of critical infrastructure, or any application where AI errors could result in serious personal injury or harm); (f) attempt to circumvent rate limits or access restrictions; (g) perform prompt injection or jailbreaking.
You may not extract system instructions, attempt to reverse engineer, or otherwise misuse the service.
No presenting ArtsManaged Compass outputs as professional advice to third parties without independent verification, or in any manner that is unlawful, infringing, or misleading. No uploading, sharing, or transmitting documents or content you are not authorized to share. You are responsible for ensuring you have the necessary rights to any content you upload.
11. US State Privacy Rights
Residents of states with comprehensive privacy laws — including California (CCPA/CPRA), Virginia (VCDPA), Colorado (CPA), and Connecticut (CTDPA) — have the following rights: the right to know what personal information we collect, the right to access and obtain a copy of your personal information, the right to correct inaccuracies, the right to request deletion of personal information, the right to opt out of the sale or sharing of personal information, the right to limit the use and disclosure of sensitive personal information, and the right to non-discrimination for exercising these rights. We do not sell your data.
To exercise these rights, contact us at support@artsmanaged.org. We will verify your identity before fulfilling your request and respond within 45 days.
12. Eligibility and Service Availability
This service is intended for and available only to users who are (a) located in the United States and (b) at least 18 years of age. By using ArtsManaged Compass, you represent that you meet both requirements.
The service is provided “as is” and “as available” without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy of outputs. arts axis, LLC does not warrant that the service will be uninterrupted or error-free.
13. Limitation of Liability
arts axis, LLC's total liability is limited to the fees you paid in the 12 months preceding a claim, in no event less than one month's subscription fee. arts axis, LLC is not liable for indirect, consequential, or punitive damages, including organizational decisions made based on AI outputs.
14. Indemnification
You agree to indemnify and hold harmless (to the extent of direct, documented losses only) arts axis, LLC, its owner, and its affiliates from any claims, losses, or expenses (including reasonable attorney fees) arising from your use of ArtsManaged Compass, your violation of these terms, or your presentation of ArtsManaged Compass outputs to third parties as professional advice, or any claim that content you upload or provide infringes or misappropriates the intellectual property rights of any third party. In addition, arts axis, LLC will indemnify you against any third-party claim that the service, as provided and used in accordance with these terms, directly infringes a valid U.S. patent, copyright, or trademark of a third party, subject to the following exclusions and limitations: this indemnity does not apply to claims arising from (a) your modifications or use of the service in combination with other products or services not provided by arts axis, LLC, (b) your failure to use updated versions of the service provided to avoid infringement, or (c) content or materials you upload or provide. arts axis, LLC's total liability under this indemnity is capped at the amount you paid for the service in the 12 months preceding the claim.
15. Cancellation and Termination
You can cancel your subscription at any time from within ArtsManaged Compass through the account menu. Cancellation stops auto-renewal but does not take effect immediately — you retain full access through the end of your current billing period.
Refunds are not generally provided but may be granted at our discretion.
arts axis, LLC may terminate your account for violation of these terms. Downloaded Session Portfolios and Compass Profiles (user-generated profile summaries created within ArtsManaged Compass) remain your property. Upon account termination, your account information (name and email) will be retained for 90 days before deletion, consistent with Section 6 above. Usage metrics may be retained in anonymized, aggregated form.
16. Changes to These Terms
We may update these terms at any time. For material changes, we will provide at least 30 days' advance notice. Non-material updates may take effect immediately. If you do not agree to the updated terms, you may terminate your use of the service before the changes take effect. Continued use of ArtsManaged Compass after a notice period constitutes acceptance of the updated terms.
17. Governing Law and Dispute Resolution
These terms are governed by the laws of the District of Columbia, without regard to conflict-of-law principles.
Any dispute arising from these terms or your use of ArtsManaged Compass shall be resolved through binding arbitration administered under the rules of the American Arbitration Association, conducted in Washington, DC. The arbitrator's decision shall be final and enforceable in any court of competent jurisdiction. If any part of this dispute resolution provision is found unenforceable, the remainder will remain in effect. This section will survive termination of these terms.
You agree that any dispute resolution will be conducted only on an individual basis and not as a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than arbitration, both parties waive any right to a jury trial.
18. Force Majeure
Neither party shall be liable for any failure to perform due to causes beyond their reasonable control, including but not limited to acts of God, pandemic or epidemic, war, government action or regulation, cyberattacks, labor disputes, internet outages, or the unavailability of third-party AI model provider or other services or infrastructure.
19. Severability and Entire Agreement
If any provision of these terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining provisions continue in full force and effect. These terms, together with any policies referenced herein, constitute the entire agreement between you and arts axis, LLC regarding your use of ArtsManaged Compass.
